Transaction Details

Under the terms of the agreement, ZeroFox will acquire LookingGlass for approximately $26 million, primarily in stock (9.4 million shares), combined with convertible debt and cash, subject to purchase price adjustments and performance earnouts. The acquisition is expected to close within the next 30 days. ZeroFox will provide additional guidance during the Q1 FY24 earnings call.

Minister Barbara Creecy on consultation invited on intention to exclude solar photovoltaic and battery storage facilities from requirement to obtain environmental authorisation

The Minister of Forestry, Fisheries and the Environment, Ms Barbara Creecy, has launched the public consultation on the intention to exclude the development and expansion of solar PV and battery storage facilities from the requirement to obtain environmental authorisation.

The exclusions apply when the facilities are developed in areas confirmed to be of “low” or “medium” environmental sensitivity and will be subject to a site sensitivity verification, compliance to a site-specific environmental management programme and a registration process.

This is in line with the sector’s ongoing efforts to simplify the environmental legislative impact assessment framework for energy projects whilst ensuring that environmental protection is not compromised.

The intention of the proposed exclusions is aimed at improving the efficiency of the environmental assessment process. In addition, these exclusions intend to simplify the deployment of solar PV and battery storage facilities, to expedite the generation of electricity from renewable energy resources, facilitate the distribution of this generation capacity and contribute to addressing the existing electricity shortages currently being experienced by the country.

RSR grants PRASA 29 months operating permit

The Passenger Rail Agency of South Africa (PRASA) has welcomed the issuing of an operating permit valid for 29 months by the Railway Safety Regulator (RSR).

“We are pleased that the RSR has granted us this permit because it gives the business operational certainty. It also allows us to focus on our accelerated corridor recovery program to bring back more trains along key routes,” said PRASA Group Chief Executive Officer, Hishaam Emeran.

PRASA was able to satisfy the requirements set out by the RSR for the issuing of a safety permit.

The safety permit authorizes PRASA to conduct its railway operations in line with the National Railway Safety Regulator Act 16 of 2002, which requires that all railway operators must have a valid Safety Permit in place.

The RSR requires railway operators to have a documented Safety Management System.

The holder of the safety permit must have demonstrated, amongst other things, the capability to mitigate the identified risks and achieve the set safety goals and objectives.

In the past financial year, PRASA’s turnaround has gained momentum with the reopening of critical corridors, including the recent opening of the Nyanga to Langa leg of the Central Line in Cape Town. The turnaround has included refurbishing stations, rail infrastructure, improving passenger, and asset security.

President Ramaphosa signs Electoral Amendment Bill into law

President Cyril Ramaphosa has signed into law the Electoral Amendment Bill of 2022.

The Bill provides for the amendment of the Electoral Act, 1992 (Act No. 73 of 1998) and gives effect to the Constitutional Court judgment that was handed down on 11 June 2020.

The judgment in the matter of the New Nation Movement NPC & V President of the Republic of South Africa & others, declared the Electoral Act of 1998 unconstitutional for stipulating that election to the National Assembly and provincial legislatures may only be attained through membership of political parties.

The amended electoral act now provides for the inclusion and nomination of independent candidates as contesters to elections in the National Assembly and provincial legislatures.

Notable measures that feature in the bill are:

The requirements which must be met by persons who wish to be nominated as independent candidates;

The inspection of copies of lists of independent candidates and accompanying documents;

Provision for objections to independent candidates;

The inclusion of a list of independent candidates entitled to contest elections;

Requirement for the appointment of agents by independent candidates;

Obligation for independent candidates to abide by the Electoral Code of Conduct;

A revised formula for the allocation of seats and their re-allocation in the event of vacated seats; and

Stipulation for the Minister to establish the Electoral Reform Consultation Panel.

The amended Act requires the Minister of Home Affairs to establish the Electoral Reform Consultation Panel within four months of gazetting the amendments.

Following the stipulated independent investigations and consultations, the Panel will make non-binding recommendations on potential reforms of the electoral system for future elections of the National Assembly and the provincial legislatures after the 2024 polls.

“The Electoral Amendment Bill marks a significant milestone in the evolution of our democracy by expanding electoral participation and widening the pool of leadership choice for the National Assembly and provincial legislatures. The bill presents a development that can only enrich and sustain our growing constitutional democracy,” President Ramaphosa said.

The bill went through extensive public consultations prompting parliament to request two deadline extensions from the constitutional court. Thus, the final deadline for parliament to pass the bill was 28 February 2023.

President Ramaphosa is satisfied that the processes leading to the passing of the bill followed all legislative procedures as envisaged by the constitution and that the substance of the bill will pass constitutional scrutiny. – SAnews.gov.za

“No justice for nanga eboko crime victims”: law practitioners reveal

Over a week after the gruesome massacre of six members of the same family in Nanga Eboko, Upper Sanaga division of the Centre region, allegedly by a Niger national, the family of the victims say they just want justice to prevail at all cost even after it was announced on April 11 that the prime suspect, Mahaman Laouali, 32 years old, had committed suicide in detention at the Regional Directorate of the Central Judicial Police.

Speaking to a legal mind on the possibility for justice to be served when the suspect is dead, Barrister Agbor Nduku clarified that in such a context it will be impossible to seek justice or the criminal proceedings will automatically stop if it had begun.

“If you look at section 74 of the Cameroon penal code, it states that criminal responsibility is personal. That’s to say there is no way another person can pay for another one’s crime. If you go further to read section 62 (i)(a) of the criminal procedure code it gives you instances wherein a criminal action instituted can be terminated without further effect. An example of such instances is the death of the suspect of the Nanga Eboko killing. In this context, this accused person or prime suspect is dead so automatically the criminal action has to stop based on section 62 sub (I) sub (a) of the criminal procedure code and section 74 of the Cameroon penal code,” he explained.

Barrister Nkamwah Limen adds that the case can only continue if the deceased prime suspect had an accomplice or accomplices still alive who would be investigated, arrested and tried: “If there is none, the case automatically closes.”

The law practitioner, nevertheless says that the family of the victims can seek for damages.

“There is a possibility for the family of the victims to file a civil action against the successors of the deceased offender. Now they have to go to the civil court for damages. But the case is no longer criminal because the criminal action stopped based on the aforementioned criminal codes.”

He highlights this while underlining it will be somehow difficult to claim the damages since the deceased suspect was an expatriate. So far it still unclear if the family of the victims have decided to seek the court for damages under such tough circumstances.

The Embassy of Sweden stated in its message that “Melkam Fasika from the Embassy of Sweden to all Ethiopian Christians. We wish you a joyous Easter holiday.”

The British Embassy in Addis Ababa has also extended a happy Ethiopian Easter holiday to all Ethiopians.

A number of other embassies of various countries based in Addis Ababa have wished a delightful Easter festivity to all Ethiopians.

Leaders Call For Sobriety In Bipartisan Talks

A section of leaders has urged legislators leading bipartisan talks to resolve issues raised by the opposition to put the interests of the country at heart.

Led by State department for Interior and National Administration Principal Secretary (PS) Dr.Raymond Omolo, the leaders said the talks should yield fruits for the benefit of all.

The talks which are meant to address issues raised by the opposition coalition led by their leader Raila Odinga are expected to kick off on Tuesday.

The Interior PS made the remarks in Homa Bay town Saturday accompanied by Senate Majority Leader Aaron Cheruiyot, Kisumu Senator Tom Ojienda, MPs Mark Nyamita (Uriri), Paul Abuor (Rongo), Elisha Odhiambo (Gem), Nelson Koech (Belgut) Japhet Nyakundi (Kitutu Chache North), Felix Oduor (Lang’ata) and Mukunji Gitonga (Manyatta).

They spoke during a fundraiser at Homa Bay Central SDA church in Homa Bay town.

Senator Cheruiyot said MPs engaged in the bipartisan talks should come up with a solution to end the dispute in the country.

‘Bipartisan talks are commencing on Tuesday. Let us have hope that the talks are going to yield fruits so that Kenya remains a united country,’ Cheruiyot said.

The Kericho Senator said differences in opinions among political leaders should not tear the country apart.

‘It is a fact that the cost of living is high and there is a food shortage in the country. The government is solving the problem by giving Kenyans subsidised fertilisers to increase production. Such differences should not divide Kenyans,’ Cheruiyot said.

Nyamita challenged MPs leading the talks from both Azimio and Kenya Kwanza sides to avoid selfish interests.

He argued that chest thumping can only aggravate the situation rather than solving the intended problems.

Nyamita said that the talks should prioritise the interest of Kenyans rather than the interests of individual leaders.

‘I call upon leaders from both Azimio and Kenya Kwanza parties to avoid chest thumping in this matter. Let them be driven by the interests of the common man who is suffering in Kenya,’ Nyamita said.

Prof Ojienda challenged Kenyans to embrace peace to create a conducive environment for economic growth.

He said it is through peace that people can undertake business activities to enhance economic growth.

‘I urge the people of Nyanza and the entire country to avoid violence and focus on economic activities to enable us to address some of the economic issues affecting the country,’ Ojienda said.

He told Nyanza residents to support President William Ruto’s government so as to benefit from development projects.

‘Let us support the government as the people of Nyanza to enable us to get development projects,’ Ojienda added.

PS Omollo urged Nyanza residents to respect all elected leaders in the country to enhance harmony and peaceful co-existence.

‘Any leader who was elected and sworn into an office in this country was chosen by God. Let us respect them as required by the Bible,’ Dr Omollo said.

The Rongo legislator Paul Abuor also urged political leaders in the opposition to respect President Ruto’s government.

‘Let us all respect the government and work with the President,’ Abuor said.
